2. Acceptance of Terms

All work is carried out under written agreements or proposals that outline project scope, deliverables, and fees.
4. Project Engagement
4.1 Proposals & Quotes
All proposals or quotes issued by No-Code District are valid for 30 days unless otherwise stated.
Work begins only upon written approval and receipt of any agreed deposit.
4.2 Payments
- Standard payment terms are 50% deposit and 50% upon completion, unless otherwise agreed.
- Payments must be made in GBP or another agreed currency.
- Late payments may incur interest at 4% above the Bank of England base rate.
4.3 Revisions & Scope
Revisions beyond the agreed project scope may incur additional fees.
Any changes to the project scope, timeline, or deliverables must be approved in writing.
4.4 Cancellations
If a project is cancelled by the client after commencement, No-Code District reserves the right to retain payment for work completed to date.
5. Intellectual Property
5.1 Ownership
Upon full payment, the client will own the final deliverables (application, designs, or systems) created by No-Code District for the specific project.
5.2 Retained Rights
No-Code District retains ownership of:
- Underlying tools, templates, and frameworks used during development.
- General know-how, methods, and reusable components created during the project.
5.3 Client Content
The client warrants that all materials (logos, data, text, media) provided for a project are owned or properly licensed by them.
6. Confidentiality
Both parties agree to treat all non-public project information as confidential and not disclose it to third parties without written consent, unless required by law.
7. Data Protection
No-Code District complies with the UK GDPR and EU GDPR.
We process personal data according to our Privacy Policy.
By using our services, you consent to such processing.
8. Warranties & Limitations
8.1 Our Commitment
No-Code District aims to deliver high-quality work aligned with the client’s objectives.
8.2 No Guarantee of Outcomes
While we make every effort to ensure optimal results, we cannot guarantee specific business outcomes, such as increased revenue, traffic, or engagement.
8.3 Limitation of Liability
To the fullest extent permitted by law:
- No-Code District shall not be liable for any indirect, incidental, or consequential losses.
- Our total liability for any claim shall not exceed the total amount paid by the client for the project.
9. Third-Party Services
Projects may include integration with third-party tools (e.g., Xano, Make.com, Relevance AI, Bubble.io, Webflow).
No-Code District is not responsible for the availability, functionality, or terms of these third-party services.
